3. Engaging Our Services

Engagement with Aroopa Inc for consulting or staffing services requires a formal contract, proposal, or statement of work (SOW). Each agreement will detail the scope, deliverables, timelines, fees, and any specific terms applicable to that engagement.

4. Client Responsibilities

Clients are responsible for:

The protection, security, and integrity of any data or infrastructure hosted or managed on their end or by third-party vendors.
Access control, backup, and configuration of their environments.
Ensuring compliance with applicable laws, regulations, and contractual obligations.
Providing timely, complete, and accurate inputs and feedback required for service execution.

Aroopa Inc is not responsible for any loss, damage, or breach resulting from misconfigurations, client-side vulnerabilities, or third-party systems used by the client.

5. Confidentiality

Each party agrees to maintain the confidentiality of all proprietary or sensitive information exchanged during the course of the relationship. This obligation remains in effect even after the termination of services, unless otherwise waived in writing.

6. Data Protection & Security

Aroopa Inc employs commercially reasonable security measures during service execution. However:

Clients remain solely responsible for the data, access, and systems under their control.
Aroopa Inc shall not be held liable for any data breach, unauthorized access, or loss occurring on the client’s infrastructure or cloud environments, unless caused by gross negligence or willful misconduct on our part.
Aroopa Inc does not maintain backup or disaster recovery unless explicitly agreed upon in a signed engagement.

7. Intellectual Property

Unless otherwise agreed in writing, all deliverables created by Aroopa Inc during an engagement become the property of the client upon full payment. However, Aroopa Inc retains the right to reuse non-client-specific templates, tools, frameworks, and know-how.

8. Third-Party Services

If our services involve integration with or use of third-party platforms, tools, or APIs, Aroopa Inc is not responsible for their availability, security, or performance. Use of such third-party services is governed by their own terms and policies.

9. No Warranty

All services and content are provided "as is" and "as available." Aroopa Inc disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, timely, or error-free service.

10. Limitation of Liability

For purposes of these Terms, an “incident” means a single event or occurrence, or a series of related events or occurrences, that gives rise to a claim or liability against Aroopa Inc. One incident may affect one or more clients or users.

To the fullest extent permitted by law:

Aroopa Inc shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunity.
Aroopa Inc shall not be liable for any errors, omissions, misconduct, or negligence by its employees, contractors, or consultants, except in cases of gross negligence or willful misconduct directly attributable to Aroopa Inc.
Aroopa Inc shall not be responsible for issues arising from client-managed systems, client-side misconfigurations, or third-party platforms or vendors.

In no event shall Aroopa Inc’s total liability for any one incident exceed one hundred dollars ($100), regardless of the number of clients or users affected

11. Indemnification

You agree to indemnify and hold harmless Aroopa Inc, its officers, employees, agents, and contractors from any claims, liabilities, damages, and expenses arising from your misuse of the services or violation of these Terms.

12. Force Majeure

Aroopa Inc shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, cyberattacks, internet outages, government actions, war, or labor disputes.

13. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law principles. Any legal action must be filed in the state or federal courts located in New Jersey.

14. Changes to These Terms

We may update these Terms and Conditions at any time without prior notice. The revised version will be posted on this page with a new effective date. Your continued use of the website and/or services signifies your acceptance of the updated terms.

16. Consultant Engagement & Conduct

Aroopa Inc provides skilled IT consultants and staff as part of its IT consulting and staff augmentation services. Unless otherwise agreed in writing:

Consultants may operate under the direction, supervision, and control of the client.
Clients are responsible for ensuring appropriate onboarding, project assignments, code access, conduct expectations, and compliance with local labor laws.
Aroopa Inc does not guarantee specific outcomes and is not responsible for any loss, damage, misconduct, or breach resulting from a consultant’s performance or actions.
Clients are strongly advised to establish their own NDA, security, and conduct agreements directly with consultants where appropriate.
Aroopa Inc reserves the right to replace consultants upon reasonable notice if performance issues are identified and validated.

17. Protection Against Frivolous Claims, Solicitation, and Accessibility Complaints
Aroopa Inc is committed to operating in compliance with all applicable laws, including the Americans with Disabilities Act (ADA). We utilize trusted third-party tools such as AccessiBe to improve accessibility and user experience for individuals with disabilities.

Aroopa Inc reserves the right to restrict or block access to this website and its services from any individual, entity, or law firm that attempts to use the site for the purpose of initiating frivolous, harassing, or unfounded legal claims or solicitations. This includes—but is not limited to—automated bots, repeated unsolicited communications, abusive demand letters, or any misuse intended to disrupt business operations or seek settlements without legitimate basis.

Before initiating any legal claim related to accessibility or other compliance issues, you agree to first notify Aroopa Inc in writing and provide a reasonable opportunity (not less than 30 days) to investigate and address the concern.
